Welcome to Jolix!
These Terms of Service ("Terms") govern your use of Jolix ("Jolix", "we", "us", "our"), including our website at jolix.io, our web and mobile applications, and any related tools, features, or services (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Eligibility & Accounts
To use Jolix, you must:
- Be at least 18 years old (or the age of majority in your jurisdiction).
- Have the legal capacity to enter into a binding contract.
- Provide accurate and complete registration information.
You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account.
- Not sharing your account with others unless your plan explicitly includes multi-seat/team access.
If you believe your account has been compromised, contact us immediately at support@jolix.io.
We reserve the right to suspend or terminate accounts that violate these Terms or are otherwise abusive, fraudulent, or harmful.
3. Description of the Service
Jolix is an online platform that helps freelancers and small service providers:
- Find and manage potential clients and leads.
- Organize projects, clients, documents, and communication.
- Create and send proposals, contracts, invoices, and forms.
- Track time, payments, and business metrics.
- Manage tax-related information and simple tax tools.
- Build and share portfolios and client portals.
- Plan and schedule social media content and brand growth activities.
- (In the future) Participate in a freelancer marketplace and discovery features.
- Use AI-assisted tools to generate content and suggestions.
We may add, modify, or remove features from the Service at any time, with or without notice, as long as doing so does not materially breach these Terms.
4. Subscriptions, Billing & Refunds
4.1. Plans and pricing
Jolix may offer free and paid subscription plans, including different tiers (for example: Free, Pro, Premium, or Agency).
Plan details, limits, and pricing are described on our website or in the app.
We may update pricing or plan structure from time to time. If we change prices for an existing subscription, we will notify you in advance and give you a chance to cancel before the new price takes effect.
4.2. Billing
If you choose a paid plan:
- You authorize us (and our payment processors, such as Stripe or PayPal) to charge you for the subscription fees and applicable taxes on a recurring basis (monthly or annually, as selected).
- By providing a payment method, you represent that you are authorized to use that payment method.
- All fees are typically charged in advance for the applicable billing period.
4.3. Renewals & Cancellations
- Subscriptions automatically renew at the end of each billing period unless you cancel.
- You can cancel at any time through your account settings.
- If you cancel, your subscription will remain active until the end of the current paid period, and then automatically downgrade or close, depending on available free plans.
4.4. Refunds
Unless otherwise specified:
- Fees are non-refundable, except where required by law or where we explicitly state otherwise.
- We may consider refunds on a case-by-case basis, but are not obligated to issue them.
5. Leads, Marketplace & Client Relationships
Some features of Jolix involve leads, a marketplace, and client discovery.
5.1. Leads & lead engine
Jolix may:
- Surface potential leads or opportunities based on external sources and your preferences.
- Provide summaries, filters, or AI-assisted suggestions.
You understand and agree that:
- We do not guarantee any specific number of leads, quality of leads, or successful outcomes.
- You are responsible for vetting and deciding whether to pursue any lead.
- We are not a party to any agreement you enter into with a client.
5.2. Marketplace (future / when enabled)
When the marketplace is active:
- Freelancers may create profiles and showcase services.
- Clients may browse and contact freelancers.
- Access to the marketplace may be limited to certain subscription tiers or XP/eligibility levels.
Jolix is not an employer, agency, or broker of record:
- We do not control or guarantee the work performed by freelancers.
- We are not responsible for disputes between freelancers and clients.
- Any payment arrangements, scope of work, and agreements are strictly between you and your clients, even if initiated through Jolix.
We reserve the right to remove marketplace profiles or listings that violate these Terms, are misleading, or harmful to users or the platform.
6. Your Content & Client Data
You may upload, create, or store various content in Jolix, including:
- Client contact details and project information.
- Proposals, contracts, invoices, and forms.
- Notes, tasks, files, and messages.
- Portfolio content, case studies, and testimonials.
- Social media drafts and brand growth content.
6.1. Ownership
As between you and Jolix:
- You own your content and client data.
- You grant Jolix a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and display that content solely as necessary to operate and improve the Service.
You are responsible for:
- Obtaining all necessary rights and consents from your clients and contacts to process their data in Jolix.
- Ensuring that your content does not violate any laws, third-party rights, or these Terms.
6.2. Backups and data loss
We take reasonable steps to protect and back up data, but:
- We do not guarantee that content will never be lost or corrupted.
- You are encouraged to maintain your own backups of important information.
- To the extent permitted by law, we are not liable for data loss arising from factors beyond our reasonable control.
7. AI, Automation & Suggestions
Jolix includes features that use AI and automation to:
- Generate social media content, proposals, and messages.
- Suggest actions or improvements related to your freelancing business.
- Trigger workflows based on events (e.g., new lead, proposal accepted).
You understand and agree that:
- AI outputs are generated automatically and may not be accurate, complete, or appropriate in every situation.
- You should review and edit any AI-generated content before sending it to clients or publishing it.
- Automation rules may trigger actions based on your configuration; you are responsible for the automations you set up.
- Jolix is not responsible for any harm, loss, or disputes arising from your reliance on AI-generated content, suggestions, or automated actions that you configure.
8. Third-Party Services & Integrations
Jolix may integrate with or link to third-party services, such as:
- Payment processors (Stripe, PayPal).
- Email and calendar services.
- Social platforms (e.g. LinkedIn for auto-posting; X via manual "click-to-post" flows).
- File storage or productivity tools (future).
When you connect a third-party service:
- You authorize Jolix to access and use the information that service makes available to us, in accordance with our Privacy Policy and the permissions you grant.
- Your use of any third-party service is also governed by that service's own terms and policies.
We are not responsible for:
- The availability, accuracy, or behavior of third-party services.
- Any loss or damage arising from your use of or reliance on them.
9. Acceptable Use
You agree not to use Jolix to:
- Break any applicable law or regulation.
- Infringe or violate the rights of others (including privacy, publicity, and intellectual property rights).
- Send spam or unsolicited messages in violation of applicable anti-spam laws.
- Upload or share malicious code, malware, or anything that could harm the Service or other users.
- Misrepresent yourself, your services, or your relationship with clients.
- Attempt to gain unauthorized access to any accounts, systems, or data.
- Reverse engineer, decompile, or attempt to extract source code from the Service (except where permitted by law).
We may, at our discretion, investigate and take action (including suspension or termination of your account) if we suspect violations of this section.
10. Intellectual Property
Except for your own content and third-party content, all rights, title, and interest in and to:
- The Service,
- Our software, designs, text, graphics, logos, and branding,
- Templates, workflows, and system-generated content,
are owned by Jolix or its licensors.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own freelancing or business activities in accordance with these Terms.
You may not copy, modify, distribute, sell, or lease any part of the Service or included software, nor may you reverse engineer or attempt to extract the source code, except as allowed by law.
11. Termination
You may stop using Jolix at any time. You can cancel your subscription through your account settings.
We may suspend or terminate your access to the Service if:
- You materially breach these Terms or other applicable policies.
- You engage in fraudulent or abusive activity.
- We are required to do so by law or a valid legal process.
- Continuing to provide the Service to you would create unacceptable risk for Jolix or its users.
If we terminate your account:
- We may provide notice where reasonable, unless prohibited by law.
- Where feasible, we may give you a limited time to export your data.
- Certain obligations and limitations (including payment obligations, disclaimers, limitation of liability, and indemnification) will survive termination.
12. Disclaimers
To the maximum extent permitted by law:
- The Service is provided on an "AS IS" and "AS AVAILABLE" basis.
- We do not guarantee that the Service will be uninterrupted, error-free, or secure at all times.
- We do not guarantee specific business results, income, or client outcomes from using Jolix.
- Any suggestions, estimates, or projections (including tax estimates, revenue forecasts, or lead probabilities) are informational only and not professional advice.
You are solely responsible for:
- Your decisions, actions, and business outcomes.
- Complying with your own legal, tax, and regulatory obligations.
Jolix is not a law firm, accounting firm, or tax advisor. Nothing in the Service constitutes legal, tax, or financial advice.
13. Limitation of Liability
To the fullest extent permitted by law:
Jolix, its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or loss of data, use, goodwill, or other intangible losses, resulting from:
- Your use of or inability to use the Service.
- Any conduct or content of any third party on the Service (including clients or freelancers).
- Unauthorized access, use, or alteration of your transmissions or content.
In no event shall Jolix's total liability for all claims relating to the Service exceed:
- The amount you paid to Jolix in the three (3) months preceding the event giving rise to the claim, or
- If you are on a free plan, $50 USD.
Some jurisdictions do not allow the exclusion or limitation of liability for certain damages, so some of the above limitations may not apply to you.
14. Indemnification
You agree to indemnify and hold harmless Jolix, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any law or third-party rights.
- Any dispute between you and a client, freelancer, or other third party.
15. Governing Law & Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Service will be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.
Any disputes shall be resolved in the courts located in the United States, unless applicable law requires otherwise.
Nothing in this section limits any mandatory rights you may have under applicable consumer protection laws.
16. Changes to these Terms
We may update these Terms from time to time.
When we make changes, we will:
- Update the "Last updated" date at the top.
- In some cases, notify you in the app or by email if the changes are material.
If you continue to use the Service after the updated Terms become effective, you agree to be bound by the updated Terms.
If you do not agree to the changes, you should stop using the Service and cancel any paid subscriptions.
